ABA book provides legal perspective on the venture ecosystem
The American Bar Association Business Law Section has released, “Venture Capital Law: A Practical Guide to Startups, Venture Capital Funds, and Securities Laws,” a comprehensive work by Gary J. Ross that is designed to help lawyers and nonlawyers alike understand how the venture ecosystem works from a legal perspective.
Ross draws on more than 20 years of legal experience, providing a practical, easy-to-read guide that navigates the venture capital life cycle from the formation of a startup company through early fundraising, equity compensation, later financing rounds and exits.
It then turns to the investment side of the venture ecosystem, covering special purpose vehicles (SPVs) and the formation, operation, regulation and ultimate wind-down of venture capital funds.
“I felt there was a need for a book that covers VC from the perspectives of both startups and venture capital funds, and I thank the ABA Business Law Section for giving me the opportunity to fill that need,” Ross said. “The book follows a founder through the various stages of her company’s lifecycle and then continues to follow her as she launches a venture capital fund and takes it through its own lifecycle. Hopefully the overarching narrative makes the book accessible and engaging to anyone interested in venture capital.”
Ross is a securities law practitioner in both the investment fund and the venture capital spaces. A partner at McCarter & English LLP, Ross focuses on venture capital and private equity, public and private securities offerings and general corporate matters. He has experience structuring domestic and cross-border investments and advising as to SEC-registered and exempt capital markets transactions. His experience includes testifying in court as an expert on securities law matters.
